Governance
The Board is responsible for our company's corporate governance and is ultimately accountable for our activities, strategy and financial performance. This section tells you more about our decision making and the rules under which we operate. We are a public limited company incorporated on 6 December 1999.
The company’s constitution is set out in its Memorandum and Articles of Association, a copy of which can be viewed via the link opposite.
On 27 December 2000 we acquired Glaxo Wellcome plc and SmithKline Beecham plc, by way of a scheme of arrangement. The company, its subsidiary and associated undertakings, are a major global healthcare group that creates, discovers, develops, manufactures and markets pharmaceutical and consumer health products.
The company's Ordinary shares of 25p each are listed on the London Stock Exchange (ticker symbol GSK) and as American Depositary Shares (ADSs), representing two Ordinary shares, on the New York Stock Exchange (ticker symbol GSK).
