New York Stock Exchange rules

The NYSE rules permit the company to follow home country UK, corporate governance practices instead of those that apply to US domestic issuers provided the company discloses any significant ways in which GSK's practices differ from those applying to US domestic issuers.

A table disclosing differences between GSK's domestic corporate governance practices and those applying to US domestic issuers is included on pages 205 to 211 of GSK's Annual Report on Form 20-F (4.1MB).
